Vendor Code of Conduct
1. In furtherance of our mission of inspiring healthier communities by connecting people to real food, Sweetgreen, Inc. (“Sweetgreen”) has a set of core values that embody our culture, spirit and dedication to doing what’s right. They keep us aligned and help us make decisions about everything from the food we serve to the way we design our stores.
2. In order to further our core values, we count on our vendors to commit to and uphold our high standards of integrity and operating principles. We expect our vendors to adopt efficient management systems, policies, procedures and training to uphold the standards and expectations set forth in this Code of Conduct within their own business operations.
3. We require our vendors to abide by all applicable national, state and local laws/regulations in the markets where they operate; however, where local laws or standards differ from this Code of Conduct, we expect our vendors to comply with the more stringent standards and principles. In keeping with our core values, Sweetgreen is committed to working with and supporting our vendors to comply with this Code of Conduct.
4. Vendors shall notify their employees, subcontractors, agents and workers of this Code of Conduct and it is each vendor’s obligation to ensure they fully comply with this Code of Conduct. It is the obligation of every vendor to immediately report any known or suspected violations of this Code of Conduct. Reports can be made at legalnotices@sweetgreen.com.
5. Compliance with Laws: Vendors must strictly comply with all applicable labor, health, and safety laws and regulations in all markets in which they operate, including minimum wage and maximum working hours. including required compensation for overtime work and other premiums.
6. Discrimination and Harassment: Vendors must prohibit unlawful discrimination or harassment in the workplace, which includes any behavior that creates an intimidating, unsafe or hostile environment, as well as any retaliation. The following behaviors are prohibited by law: physical abuse, verbal harassment, threats and intimidation. Be physically and verbally respectful. Vendors shall comply with laws prohibiting discrimination in hiring and employment practices on the grounds of race, color, religion, sex, age, physical ability, national origin, sexual orientation, gender identity, and any other applicable basis.
7. Child Labor: Sweetgreen expects its vendors to prevent child labor in their operations and encourages our vendors to participate in industry efforts aimed at the elimination of such practices wherever they exist.
8. No individuals are hired under 15 years of age, or 14 years of age where local law allows.
9. Any employment of workers under the age of 18 does not interfere with schooling or vocational education or expose children to risks that can harm physical, mental or emotional development.
10. Forced Labor: The use of forced or prison labor and any form of indentured servitude by a vendor and its subcontractors is forbidden. Physical punishment, confinement, use of weapons, threats of violence, or other forms of physical, sexual, psychological, or verbal harassment or abuse is strictly prohibited.
11. Migrant Workers: Sweetgreen expects its vendors to pay particular attention to the risks of exploitation that both domestic and foreign migrant workers face and ensure migrant workers are not discriminated against in respect to these standards. Our vendors may only engage workers who have a legal right to work in the United States. Workers must be able to voluntarily terminate contracts without penalty upon reasonable or legally applicable notice.
12. Safe Working Conditions: Vendors must provide all employees with safe and healthy working conditions, including by offering emergency training and resources, practicing industrial hygiene, and enacting equipment safety initiatives, as appropriate. At a minimum, potable drinking water, clean restrooms, adequate ventilation, fire exits, essential safety and protective equipment (including adequate PPE during COVID-19), and related training, an emergency aid kit and access to emergency medical care.
13. Environmental Responsibility: Vendors must comply with environmental laws and regulations and conduct their operations in order to promote environmental responsibility and sustainability. If a vendor has a sustainability certification or published statement regarding sustainability, vendor shall provide to Sweetgreen (and should also notify Sweetgreen of any updates).
14. Ethical Business Practices: Vendors are forbidden to participate in or condone falsifying, inaccurate or misleading documents or accounting practices, collusive bidding and price fixing, and unfair trade practices and must fully comply with the Foreign Corrupt Practices Act, , the UK Bribery Act 2010, and any laws intended to implement the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions, and related regulations. Vendor and any its affiliates, subsidiaries, representatives, and subcontractors shall not accept bribes, kickbacks or other similar remuneration from Sweetgreen employees. Vendors shall avoid gifts, gratuities, fees, bonuses or excessive entertainment, in order to attract or influence business activity. Vendors shall not use their Sweetgreen contacts to advance their private business or personal interests at the expense of the Sweetgreen. Vendor shall not make, authorize, offer or promise to make or give any money or any other thing of value, directly or indirectly, to any current or former government official or employee (including employees of a state-owned or controlled enterprise of public international organization), candidate for political office or an official of a political party, or any employee, director or consultant of a non- government client or potential client, for the purpose of securing any improper or unfair advantage or obtaining or retaining business in connection with the activities contemplated under this Agreement. Any breach or violation of any provision contained in this Section by Vendor shall be grounds for immediate termination of this Agreement by Sweetgreen.
15. Following Through: Sweetgreen strives for continuous improvement, and we are committed to working with our vendors to improve protections for their workers and workplace. We reserve the right to terminate a relationship in accordance with the agreement for failure to meet our Code of Conduct, however, we strive to always put the interests of workers first. In the event we are aware of the failure to meet our Code of Conduct, depending on the nature of such failure, certain members of the Sweetgreen team will arrange an assessment with the vendor to try to understand thereason for such failure, and to attempt to remedy such failure. Termination will be considered when a vendor refuses to cooperate with any such assessment, refuses to change a required behavior or practice, does not make timely progress on remediation, or engages in falsification or misrepresentation of records or other illegal or deceitful activity.
This Code of Conduct is in addition to any other Sweetgreen policies, codes, and agreements which might apply to a vendor, and Sweetgreen may add to or modify this Code of Conduct, from time to time upon notice to the vendor. Sweetgreen may conduct inspections, audits, and evaluations of vendors and their business practices, records, and facilities in order to demonstrate and document compliance with this Code of Conduct.
